Question: Does D&O insurance protect a director from trade secret related lawsuit? Hi -
One of the director and officer of our company has signed an NDA (non-disclosure) & a PIA (Proprietary Invention) agreements with his previous employer (she was a director/officer at that company too). She will be working on similar stuff at our company. She is obviously not planning on using any trade-secrets she was privy too :-). That said if she or our company is sued by her former employer for trade secret violations, can the
1. D&O insurance cover the legal costs involved in defending
a lawsuit involving the new director?
2. We don't have any D&O coverage right now, what kind of coverage should we ask for to deal with any legal issues that may come up with the new director on board?
3. How does the D&O insurance work - what percentage of legal costs are covered? How do you typically file a claim?
I am not concerned with her PRIOR ACTS just to clarify only her ACTS in our current company that may invite a lawsuit from her previous employer.
For example unknowingly using a business process in our company which her former employer may claim as a trade-secret.
Answer: 1. D&O policies are NOT standardized, so you'll have to check with a particular form. IN GENERAL, however, the policy only covers lawsuits related to your position as a director or officer AT YOUR CURRENT POSITION. So it's going to depend wildly on the exact wording of the suit. In any case, DEFENSE COSTS are the only thing covered - any JUDGEMENT is NOT going to be covered, if she's done something illegal on purpose.
2. lay out to your agent, EXACTLY what you're looking for. Again, it's not going to cover her PRIOR ACTS with a PREVIOUS EMPLOYER. The point is, to cover YOUR company, not to cover HER, or to cover her but only with respect to her position with YOUR COMPANY.
3. Usually with D&O, defense costs are INSIDE THE LIMIT, and you have to use the insurance company's attorney. You have to put the company on notice, even BEFORE there is a claim. And on the application, there's a question: Are you aware of anything that could potentially result in a claim? And that's a really important question to answer, that would void coverage if you lie.

Answer: Why are you using different direction slashes for each?
They pretty much serve the same function: increase the amplitude of the signal.
When you crank up the gain on an amp, especially a tube amp, it starts to distort, giving you that awesome sound we all love. Overdrive/distortion pedals were developed to push amps a little harder, creating more distortion. Nowadays pedals can create plenty of distortion on their own, but there's no substitute for genuine all-tube distortion.
Question: What is the O/D off and on on my dashboard and on my gear stick in my lexus? What does O/D on or off do? Also, does anyone use gears 2 and L when driving an automatic car?
Answer: your car has 4 gears. O/D is basically 4th gear. when overdrive is on, your car will go into 4th gear when going fast enough. when overdrive is off, it will stay in third gear giving you more power. usually keep O/D on for normal driving. you want to go into 4th gear. it's rare that you turn O/D off, which is why a light should come on when this is turned off instead of on.
Question: How do you know whether the O/D button is turned on or off. (FYI, Ford Contour 1999)? I just bought Ford contour 1999 car. I later realized that the O/D Off indicator doesn't blink when I push the Overdrive button (the green button on the gear shift handle). Is there any other way to know whether its turned on or off.
I want to drive with overdrive turned on on highways so that it consumes less fuel and the engine doesn't get heated up.
Answer: If it is on it will go into overdrive - look at the RPM's or listen to the engine rev.
Press the button, when it downshifts and the rpm's go up - that would be the off position.
The only time you should use the OD off is when towing or driving slowly up a steep grade.
Question: 97 Explorer 4x4 will any V6 transmission work and does it have to have o/d drum sensor? Transmissions from same year and model just different V6 engines. Also was told about tech service bulliten that said if o/d light flashes tie the two wires to o/d sensor together.
Answer: Best make sure or all the work will be in vain>I have had problems with ford truck with same trans & yr but the insides were different>
Question: Hi,what is o/d in cars with automatic transmission? How it is working or what circumstances it works? if the O/D is automatically on and off ,when it opperates?
Answer: OD mean overdrive, it allow the engine to run at lower RPM to give you the best gas milage possible. Never use it when towing a trailor exspecialy in a car for it will make the tranny work harder and burn the fluid and cause tranny damage. Overdrive is mainly used at speeds over 45 mph and is really helpful on the highway.

Answer: D ring binders allow pages to lie flatter and you can also fit more pages. With the straight side, the pages are kept in line. O ring binders are fine for paper, but if you've got valuable items stored in binders, such as trading cards contained in archival plastic sheets, you must use D ring. You can get away with an O ring if you don't have more than ten to twenty pages. Beyond that, the circular ring causes the bottom most pages to curl upward nearest the ring under the weight, and items get bent.

Answer: the chance is 3/4 or 75% because if they had a child who was O- that means they both have + and - for their D genes. so if you make a punnet square with two heterozygous for the D gene (one + and one -) you would come out with the posibilities of the child being ++,+-,+-, or - - which means that three out of four of their children will be positive for the D gene.
Question: What does it mean when your o/d light blinks sometimes? i have a ford probe 96' and sometimes the o/d light blinks and it jerks when i drive it for a long while. also i was told my transmission oil looked old.
Answer: your overdrive is malfunctioning, which is a sign of transmission malfunction. definetly needs service.
Question: when racing should i use the o/d on my 99 automatic transmission infiiniti? i have a 99 infiniti i30. theres a switch on the gear shifter that say o/d. if i wanted to accelerate fast from a complete stop. should i click the button so on my dash it illuminates saying o/d off or should i just leave it alone?
Answer: keep it off, once it goes to over drive the rpm,s are going to drop on it,you need high rpm,s to win a race not low rpm,s and good fuel economy,make it so that it shows it to be off,and be safe about street racing,you get caught its probably goint to cost you your drivers licesne,good luck.
Question: How to turn on O/D on a Standard Hyundai Elantra 02? I've been driving my Elantra for 7 months now, and for some reason, the "O/D off" light turned on with my car today. I've never seen a switch for the Over drive in my car, it's a 5 speed. Is there a secret button somewhere, or did I fry something. Thanks a lot!

Answer: Sounds like an electrical gremlin.
You say it's a stick shift that light should not even have a bulb behind it. I have a Santa Fe that does not have ABS, even though there is an ABS light, there is no bulb in the socket and the hole is taped over.

Question: Why are my Trans Over Temp and O/D Off lights coming on? My Trans Over Temp and O/D lights have been coming on after driving my 2001 Jeep Grand Cherokee for about 30 minutes in 80 degree weather. Any thoughts on what could be causing this? Answer: jeeps and other chrysler/dodge vehicles are known for crappy transmissions. it sounds like there are some major tranny problems, and you will probably be stranded somewhere if it doesnt get fixed. if it is more than a simple fix, be prepared to spend thou$and$ on a new transmission. oh, and the weather shouldnt have any effect on it. get rid of the jeep! lol
Question: What does the O/D flash in a 2002 ford explorer speculate? When i first start the engine it doesn't show and then after 10 min of driving it starts to flash. I know theres an O/D button but pressing doesn't change anything.

Answer: It is flashing because it has a fault code. In these vehicles the O/D indicator light works just like the check engine light would work for your engine. Being that it is an OBDII vehicle the code can be checked with a scanner, so have it checked. I believe there is also a way to know what the code is by the number of flashes, but I am not sure, as I don't do much "shade-tree" mechanic work. If you are inclined, there are several excellent code readers that you can buy. I would look for one made by scantron, mac, matco, or snap-on, and if you look online you can get one for around 50-80$.

Answer: easy way no...
2 reasons a comp would not boot into safe mode and is blue screening at startup.
1. Registry issue. try rolling back (spam f8 while booting - repair computer - so on so forth or maybe even last known config if you are really super lucky) or repair install (why do so few ppl post what o/s they are using)
2. Hardware issue. Usually hdd. Comp fail if its more then 3 years old buy a new one otherwise have the mfg or best buy repair it. may also be ram or mobo but hdd is tus.
ur running a 50/50 on either of those. if its a registry issue prolly caused by malware.

Answer: I'm an MD, but all the DO's I've known have never had problems with that if they identify themselves as "Doctor."
Besides, if I were seeing someone, I'd be more concerned with whether they are state-licensed, board eligible and/or board-certified than if they were a MD or DO.

Answer: The o-line does offense and the d-line does defense.

Answer: you could make jello and before it cools and solidifies, you can put other things in it, such as other small bits of vegetables, like peas into it to represent other organelles of the cells such as lysosomes and the nucleus and mitochondria(use kidney beans b/c they are the same shape) and chloroplasts(only in plant cell, remember), etc. and let it solidify in your fridge with those other objects in it. It will work well, since jello is the samish consistancy as cytoplasm! Make sure you have a key!

You are mostly not going to get the answers you are looking for because most of us are so culturally removed from thinking like you do we cannot give you any kind of real answer.
